Procedural Posture

Urgent Application / Application for Urgent Interdict and Declaratory Relief

  1. 1 Whether restrictive conditions in the title deed bind liquidators in the sale and transfer of property during liquidation.
  2. 2 Whether the transfer of the property to the seventh respondent requires the written consent of the applicant Association.
  3. 3 Whether the sale by liquidators constitutes a 'forced sale' exempt from restrictive conditions.

Ratio Decidendi

The court found that restrictive conditions in the title deed do not bind liquidators acting in the course of statutory duties to realise assets for creditors. The sale by the liquidators was not a voluntary alienation but a compulsory sale in liquidation. There was no evidence that the sale was subject to the Association's consent, nor was such consent a statutory requirement. The court held that the restrictive conditions cannot impede transfer of property lawfully sold by liquidators, as this would undermine the liquidation process and the rights of creditors. The applicant failed to establish a clear right to the relief sought, and the application was dismissed.

Court Disposition

Application dismissed; costs reserved for further argument.
