The evidence established that the JVA was incomplete, its terms were objected to and revoked before acceptance, and subsequent conduct confirmed that no binding agreement was reached. The NSA could not be enforced independently of a valid JVA. The parties' resolution to abandon the joint venture and the absence of implementation further supported the conclusion that no binding agreement existed.
