Ratio Decidendi

The court found that the supervision agreement novated and replaced the previous employment agreements, including the initial offer containing the restraint of trade clause. The supervision agreement's terms were inconsistent with the earlier agreements, and the presence of a whole-agreement clause indicated the parties' intention to replace prior arrangements. The restraint of trade clause was also found to be impermissibly vague and unenforceable. Regarding confidentiality, the court held that Heritage failed to prove that Mr Ramborosa unlawfully used confidential information to poach clients, especially as many clients were originally solicited by him and included friends and family....
