Ratio Decidendi

The court held that the re-registration of Ferrocliff Steel and Zisconsteel Distribution Centre (in liquidation) did not have retrospective effect to validate legal proceedings or corporate activity undertaken during the period of deregistration. The application brought by Manyika under case number 54251/2012 was instituted against non-existent entities and was therefore a nullity. The assets of the deregistered companies became bona vacantia and vested in the State, making attachment and execution against such property impermissible. The Companies Act 71 of 2008, which replaced the 1973 Act, does not operate retrospectively to validate acts or proceedings commenced during deregistration....
