The first defendant received and accepted the plaintiff's rejection of his proposed amendments, except for the waiver in the event of Mr. Fitzpatrick's resignation or death. The closure of the branch was not a condition accepted by the plaintiff, and thus did not render the restraint void. The first defendant breached the restraint by competing with the plaintiff and soliciting its clients within the restraint period.
