The Supreme Court of Appeal held that the council resolution of 22 June 2009 did not constitute a lawful requirement under s 42(3)(a) of the Attorneys Act. The statutory requirements for issuing a fidelity fund certificate are limited to payment of contributions and compliance with financial reporting obligations. The resolution was vague, undisclosed to members, and did not relate to the legislative purpose of s 42(3)(a), which is to ensure proper management of trust accounts and protect the Fidelity Fund. Ethical fitness and disciplinary matters are for the courts, not the Law Society secretary. The refusal to issue certificates was therefore unlawful, and the appeals were dismissed.
