Procedural Posture

Urgent Application / Final Determination of Part B of the Application; Application for Removal of Business Rescue Practitioner

  1. 1 Whether grounds exist for the removal of the first respondent as business rescue practitioner under section 139(2)(a) and (b) of the Companies Act.
  2. 2 Whether the amended business rescue plan was validly adopted.
  3. 3 Whether the applicant is entitled to a punitive costs order against the Department and/or the second respondent.

Ratio Decidendi

The Department failed to establish on a balance of probabilities that Bester was incompetent or failed to perform his duties as business rescue practitioner under section 139(2)(a) and (b) of the Companies Act. The complaints regarding additional tea supply agreements, prejudicial commercial terms, unaffordable loans, and failure to report were either unsubstantiated, based on hearsay, or adequately explained by Bester. The amended business rescue plan was validly adopted by unanimous creditor vote, as permitted by the plan itself. The failure to report to court and misunderstanding of contract suspension powers did not result in prejudice to the company or business rescue proceedings....

Court Disposition

Application for removal of the first respondent as business rescue practitioner dismissed. Punitive costs order granted against the applicant and second respondent.
