Ratio Decidendi

The Supreme Court of Appeal held that the guarantees issued by Absa Bank were not 'on demand' bonds but operated as conditional suretyships. The wording of the guarantees indicated that Absa's liability was tied to the contractor's obligations under the construction contracts. The provision allowing the bank to withdraw after 30 days' notice expressly limited liability to the amount owing by the contractor at the expiry of the notice period. The department failed to establish any monetary claim against Zanbuild at the relevant time, and therefore was not entitled to payment under the guarantees. The High Court's interpretation was upheld, and the appeal was dismissed.
