  1. 1 Whether the Memorandum of Incorporation or private agreement between the Applicant and Fifth Respondent supersedes the CSOS Act.
  2. 2 Whether the Fourth Respondent's request for direct reference to adjudication should have been dealt with by way of conciliation under the CSOS practice directive.
  3. 3 Whether CSOS had jurisdiction to refer the matter for adjudication.

Ratio Decidendi

The court found that, although the threshold for granting leave to appeal is high and requires a reasonable prospect of success, the Applicant's grounds raised substantive issues regarding the jurisdiction of the CSOS, the interplay between private agreements and statutory remedies, and the procedural handling of the dispute. After considering the heads of argument and submissions, the court concluded that it could not exclude the possibility that another court might reach a different conclusion. Therefore, there are reasonable prospects of success, and leave to appeal should be granted to the Full Bench or Supreme Court of Appeal.
