The Supreme Court of Appeal held that the contract between Namasthethu Electrical (Pty) Ltd and the City of Cape Town was validly rescinded by the City due to fraudulent misrepresentations made during the tender process. The arbitration clause in the contract did not survive the rescission, as there was no clear and unequivocal language in the contract providing for disputes regarding fraud-induced rescission to be arbitrable. The adjudicator's determination was invalid and set aside, as he lacked authority to adjudicate a dispute under a contract that had been rescinded for fraud.
