Procedural Posture

Exception Application / Exception to Particulars of Claim

  1. 1 Whether the plaintiff's particulars of claim disclose a cause of action in light of the suspensive conditions in the Facility Agreement.
  2. 2 Whether the pleading that suspensive conditions were fulfilled to the plaintiff's satisfaction is consistent with the Facility Agreement.
  3. 3 Whether the Facility Agreement permits advancement of funds before fulfilment or waiver of suspensive conditions.

Ratio Decidendi

The court held that the Facility Agreement, properly interpreted, allows for the advancement of funds to the First Defendant even if the suspensive conditions have not been fulfilled, provided the parties agree in writing. The definition of 'Availability Date' in the agreement contemplates advancement of funds either upon fulfilment or waiver of suspensive conditions, or by written agreement. The particulars of claim, though inelegantly framed, are sufficient to disclose a cause of action because a reasonably possible interpretation of the contract supports the plaintiff's claim. The exception was therefore dismissed.

Court Disposition

Exception dismissed; costs awarded against the defendants.

Orders
