Ratio Decidendi

The court held that section 197 of the Labour Relations Act requires an actual transfer of business as a going concern, not merely a transfer of possession or control. The sale of shares in the respondent company, pursuant to a scheme of arrangement following provisional liquidation, did not constitute a transfer of business for the purposes of section 197. The applicants' contracts of employment had terminated by operation of law upon liquidation, and the subsequent scheme of arrangement and sale of shares did not revive or transfer those contracts. The Labour Court therefore did not have jurisdiction to grant the relief sought by the applicants under section 197, and their claim was...
