Procedural Posture

Urgent Application / Opposed Application for Specific Performance and Related Relief After Contract Termination

  1. 1 Whether the joint venture agreement remains in force after the termination of the contract with the Department.
  2. 2 Whether Ntema Investments CC, as a former joint venture partner, is entitled to specific performance or reinstatement to the housing project.
  3. 3 Whether the failure to join the newly appointed contractor is fatal to the application.

Ratio Decidendi

The court found that the joint venture agreement had lapsed automatically upon cancellation of the contract with the Department, and the joint venture was dissolved. Ntema Investments CC, acting in its own name, could not succeed as the bid and contract were awarded to the joint venture, not to Ntema individually. The Department had already appointed a new contractor to continue the works, and the failure to join this contractor, who had a direct and substantial interest in the outcome, was fatal to the application. The court held that Ntema had no entitlement to specific performance or reinstatement to the project, and the relief sought could not be granted. The application was dismissed...
