Procedural Posture

Civil Trial / Final Judgment

  1. 1 Whether the plaintiff complied with its obligation to pay R5 million under the investment agreement.
  2. 2 Whether payment by cheque constitutes valid payment if the cheque is dishonoured.
  3. 3 Whether the plaintiff is entitled to claim the investment proceeds from the first defendant despite the dishonoured cheque.

Ratio Decidendi

The court held that payment by cheque is conditional upon the cheque being honoured. Since the cheque for R5 million was dishonoured, the plaintiff did not comply with its obligation to make payment under the investment agreement. The obligation of the first defendant to invest funds was consecutive to the plaintiff's obligation to provide those funds. As the plaintiff failed to perform its part of the contract, it could not claim performance from the first defendant. The plaintiff's claim was therefore dismissed, and it was ordered to pay the costs of the first defendant, including the costs of two counsel.

Court Disposition

Plaintiff's claim dismissed with costs, including costs of two counsel.

Orders

  • The plaintiff's claim is dismissed.
  • The plaintiff is to pay the costs of the first defendant, including costs consequent upon the employment of two counsel.
