The court held that payments made by CEMA Roller Shutter Doors CC to first and third respondents after the commencement of liquidation were void under section 341(2) of the Companies Act 61 of 1973. There was no basis for the court to exercise its discretion to validate these transactions, as they were made exclusively for the benefit of the former members and in breach of the Act. Consequently, the recipients are liable to repay the amounts received.
