The court held that restraint of trade agreements may survive the transfer of a business under section 197 of the Labour Relations Act if, as a matter of fact, they form part of the goodwill of the business being transferred as a going concern. In such cases, the rights and obligations under the restraint are ceded and delegated to the new employer, who is then entitled to enforce them against the employees.
