However, the defendant must comply with rule 32(3)(b) by fully disclosing the nature and grounds of the counterclaim and the material facts relied upon. In this case, the appellant failed to provide sufficient factual foundation for its counterclaim, and its allegations conflicted with the written credit agreement, which required deviations to be in writing.
