Procedural Posture

Civil Appeal / Judgment on Appeal

  1. 1 Whether the appellant breached the terms of the loan agreement
  2. 2 Whether the loan agreement was void ab initio and unenforceable
  3. 3 Whether the respondent was entitled to general damages

Ratio Decidendi

The appellant breached the loan agreement by failing to disburse the agreed amount and by paying an excess sum to DTB, contrary to the contract terms. The respondent's claims were admitted by the appellant's failure to specifically deny them in pleadings. The contract was not void ab initio but was rescinded due to breach. The respondent was entitled to general damages, but the quantum awarded by the High Court was excessive and based on inadmissible evidence. Restitution required the respondent to repay the appellant the net benefit received.

Court Disposition

Appeal partly allowed, partly dismissed

Orders

  • High Court's declaration that the contract was void ab initio and unenforceable is set aside
  • General damages award reduced from TZS 70,000,000.00 to TZS 15,000,000.00
