Holding and result

The defendant's offer was validly accepted by timely payment of fees in 1980. Notification to the Land Office, though required, does not invalidate the offer if payment was made. The plaintiff failed to prove payment for the 1983 offer and failed to establish the presence or use of her building materials by the defendant. The defendant is the lawful holder and occupier of the plot.

Questions and positions

Legal issues

Party arguments

Applicant
Plaintiff argued that the defendant failed to notify the Land Office of payment as required by the offer, causing the offer to lapse. Plaintiff claimed to have deposited building materials on the plot and sought compensation for their alleged loss.
Respondent
Defendant argued that acceptance of the offer was by payment of fees within the prescribed period, regardless of notification to the Land Office. Defendant denied the presence of plaintiff's building materials and produced evidence of valid payment and allocation.

05

Court’s reasoning

  1. 01

Letter of offer, Land Office practice

Acceptance of a land offer is effected by payment of prescribed fees within the specified period; notification to the Land Office is not essential for validity.

  2. 02

Hamisi Sinalile v. Assan Mbwele 1974 LRT 28

Once an offer is validly accepted and not revoked, no subsequent offer over the same plot can be made.

06

Ratio, limits and disposition

Ratio decidendi

The defendant's offer was validly accepted by timely payment of fees in 1980. Notification to the Land Office, though required, does not invalidate the offer if payment was made. The plaintiff failed to prove payment for the 1983 offer and failed to establish the presence or use of her building materials by the defendant. The defendant is the lawful holder and occupier of the plot.

Obiter and limits

  • A greater burden of proof is required to prove fraud, which was not discharged by the plaintiff.
  • Failure to notify the Land Office of payment does not cause an offer to lapse if payment was made in time.

The defendant is shovm in the Land · Office reoords to. have ,aid for the offer on 22/10/80. 1 _nw4 said finally that the person recognized as the rie~tful owner of th_!: suit plot was the defendant and that if the office had knavl\ · that the. defendant bad acc~pted the off er no other ofter would have been issued. I will now attempt to answer ·the issues. I will start with th€ 2nd , ·,•· issue.•• There is no credib,le ·lO evidence_ to sh0r-1 ·i;l.iat ·the plaintiff mt.do "any peyment for the 1983 offer. The file from ·the Revenue· Office exhibit DlO ha_s got_ no receipts fcrr such period. Payments for the 1987 offer are mention~d by the wi tnesse., from the Land Office. The first issue reads• Which of the _two offers ·is valid,." The Land Office at Kinondoni_ District Land Offf~e ·· (see exh. D7) impliedly state~ that the offer·of the defendant ' . is: 'the valid on~• Similarly the letter from the Zonal Land Officer (Ex:h. D5) states that the defendant's offer is

the v-alid one. In any case the Land Office ~esolved the dispute in favour of the defendant,. The 20 a.rg~cmt from the plaintiff side is that since the defendan~; did not notify the Land Off ice as required by pa.re.graph 5 of tho letter of offer even after. the Land officel! had sent the defende.nt t110 letters asking for the receipts, the offer-laptied~ Mr. Semgalawe learned JOlll1.sel for the· :plaintiff .went further and argued that here was an offer and the off-er had to be accepted in order for tho contract to be complete but that the offer _was not accepted. On the otmr hand Mr. Ismail learned · colll1.sel for the defendant -~gued that the acoopt~ce of ·•;be offer was by payment of the necessary fees within a-,certain 0 ,riod and that it matters not whether Kinondoni Land Office was aware 30 \'".~' of. the :payment as such lack of knav ledge wo\;ld not vi ti ate, roscind or invalidate the offer. It is my opinion that what. is important and necessary fo:-c the offer to hold good is the peyment of the necessary fees within the ·specified period, Notific2.tion of such payment to the Land Office although~equired cannot vitiate or make the offer lapse as long as ·.. ' . peyment has been made ;i.n time. This is so because otharwiso y-0·1 would get very unfair resuits where either the notification does not £ reacfu its destim tion or there is some foul play involved.,. Tp.0

offer •: itself does: not make failure to notify a reason for an offer to lapse. Paragraph 5 of the letter of offer of the defendant required: the offeJt~e to send to the ;Land Officer the Original exohequer receipts obtained after payment of the amount payable. P;.µ-agraph 5 does not mentian any consequences for failure to forward the receipts 4 'i•. But par~aph 6 of the letter_ of offer gives the consequences of failure to pay vtlthin the time prescribed namely lapse of the offer, +t seems to me that once the off ~e has accepted ·the offer .by payment of the prcsoribed amotU1t. within the pres, ribed i:eriod, he ~annot be said no_t to have accepted 10 · · · the offer, be6a\lse it, is suoh payment within time which is knorm as the_ acceptance o.f the offer. 'J;'he defendant was ·offered the offer on ~'f,/10/80 and she pe.i_d all the fees on the same day as ·the oopios of her receipts show~ Si.no~ her offer was valid no other offer aver the_ same plot could be made (see Hamisi Sinalile v.,. Assan Mbwele 1974 lllT28 ). Her earlier offer remains valid. I. tperefOJ;'c ansmJr the issue~ by saying that it is the offer of the defendant ~hich is the valid one. The 3rd issue is v,rhether tho plaintiff is entitled to shs •. 160,000/=. 'lhe ev,idence adduced by the Plain+;.iff is· that she put 2 lorries of 20 s;3nd and 2 ],or~ie~ of gravel on the suit plot as well as 2000 bricks •. This

evidence was corroborated by PW2 Omari Juma.. 'lhese building materiah; were no longer there when the defendantr s building was at the lint~- ·stage al though the building materi 1.ls were there when the def'endant started construction •.O,.otl:ie<othor hand the defendant said that there were no building materials on the suit plot when she started construction •. , She produced exh. D7 whi«h is a letter from the Land Office Kinondoni ' _J. ·~ __.,;_ ~ ...,....... .. .• . . .... - ! i : ... : -·-.'~ '\." . . .. .- .. I do not find sufficient evidence establishmg that there were such building materials there. If the evidence of P/71 (Plaintiff) were true 1 the plaintiff would not have waited until November 1989 to mention that there wcro her building mat0rials at the suit plot. I was not impressed by the evidence of Pw2 who looked hostile to the defendant presumably because the defendant uas building in the Sh2JI1bn of 1W 2 rr.i. thout payine him any compensation •..• ...... -~- I got this impression durinc.

cross examination when IW2 was trying to··. oay that he saw no vehicle of the defendant eomc there until ho was fo+ced to ad.mi t that he saw a lorry bring sand.and blocks~ It is quite easy for the plaintiff to allege untrue matters with :regard to \'that was on· the plot. Indeod as can be seen from the plaint, the va,~uc of the 2000 bricks is inflated at 100,000/= .instead of 60,000/= or 80.,000/= according to the evidence. Aiso tho price of two trips of gravel is sho\m in , , tho plaint to be 50,000/= whereas in the evidence the plaintiff. put- the price of lorry of gr2.vel at 7,000/=. The plaintiff was 10 not able to give cJJ1 answer as to why the price of gravel is given as shs, 25,000/= per trip in the plaint but_ only 7000/= in the evide_nce. Fur.t.hcrmore oven if I were to hold th2,t the building ·materials as mentioned by the 1>laintiff r:ero there, I have no rcasqn to assume without more that the dofondMt must ·have used them in tthe , ~onstruction of her building. .
