Civil Suit / Judgment

  1. 1 Whether the absence of a written memorandum renders the contract unenforceable under section 6 of the Sale of Goods Ordinance, Cap. 290.
  2. 2 Whether the defendant accepted and actually received the goods within the meaning of section 6.
  3. 3 Whether consignment to a bank rather than the defendant constitutes delivery to the buyer or their agent.

Ratio Decidendi

The court found that while the defendant's inspection and rejection of the vehicle at Tanga constituted acceptance under section 6(3) of the Sale of Goods Ordinance, actual receipt by the defendant was also required to bring the contract within the statutory exception to the memorandum requirement. Since the vehicle was consigned to the Standard Bank and not directly to the defendant, the plaintiff never parted with possession, and the carrier acted as the plaintiff's agent. Therefore, the defendant never actually received the vehicle. In the absence of a written memorandum, the contract was unenforceable by action, and the plaintiff's suit was dismissed.
