The court found that the contract between the parties was based on reciprocal promises: the Plaintiffs were to pay UGX 8,000,000 monthly to enable the Defendants to evict tenants and make the land available for a joint venture. The Plaintiffs failed to pay the full amount required under the agreement, which went to the root of the contract. Under section 44 of the Contracts Act, this failure gave the Defendants a lawful excuse not to perform their obligation, and thus there was no breach of contract by the Defendants.
