Ratio Decidendi

The court found that although there was a valid sale agreement between the Respondent and the vendor, the Respondent failed to pay the balance of the purchase price within a reasonable time and did not provide credible evidence of payment. The delay of six years constituted undue delay, and the Respondent's actions did not demonstrate intent or commitment to complete the contractual obligations. Consequently, the Respondent breached the purchase agreement and was not entitled to ownership of the suit land. The trial Magistrate erred in declaring the Respondent the lawful owner and awarding damages against the Appellant, who retained a beneficial interest in the property.
