The Registrar found that the purported special resolution of 13th March 2015, which formed the basis for the respondents' admission as members and subsequent company actions, was not validly passed. There was no evidence of a properly convened meeting, no signed minutes, and no compliance with statutory notice requirements. The Articles of Association require the Executive Council to approve new members, which was not done. All subsequent documents and resolutions relying on this invalid resolution were therefore misleading, inaccurate, and illegally obtained within the meaning of Regulation 8 of the Companies (Powers of Registrar) Regulations, 2016.
