Ratio Decidendi

The court found that Alphonse Odido was the beneficial owner of the suit property, having provided the purchase money and negotiated the loan, with the property held in trust by Eclipse Mercantile Ltd. The subsequent retransfer of the property to Lebel (E.A.) Ltd was fraudulent and in breach of trust, as both companies acted to defeat Odido's rights. Applying the principles of resulting trust and trustee duties, the court held that the transfer to Lebel (E.A.) Ltd was illegal and null and void. The Chief Registrar of Titles was ordered to cancel the registration in Lebel (E.A.) Ltd's name and register the property in Odido's name. No order was made as to costs, as Odido did not seek them.
