The alleged powers of attorney and resolutions authorizing him to act were not produced in evidence, and there was no rectification of the company register to reinstate the original shareholders and directors. As such, he lacked authority to instruct counsel to institute proceedings in the company's name. The defect was not cured by any subsequent ratification, as those purporting to ratify were not directors or shareholders. The suit was therefore improperly instituted and must be struck out for want of authority.
