  1. 1 Whether there was a binding contract between the plaintiff and the defendant regarding the position of Acting Principal.
  2. 2 If so, whether the defendant breached the contract.
  3. 3 Whether the plaintiff is entitled to the damages claimed.

Ratio Decidendi

The court found that although an oral offer was made to the plaintiff to act as Acting Principal, the evidence showed that the plaintiff did not accept the offer as made. Instead, he rejected the written proposal that differed from the oral terms and left Uganda. The court held that there was no unequivocal acceptance and thus no binding contract for the Acting Principal position. Consequently, there was no breach of contract and no entitlement to damages. The claims for the summer course allowance and air ticket were also rejected due to lack of proof and evidence that the plaintiff had already received partial payment for travel. The suit was dismissed with costs to the defendant.
