Ratio Decidendi

The court found that the addendum executed between the parties on 14th April, 2011, specifically clause 4, subjected the plaintiff's rights under the original contract to the defendant's obligation to first clear its loan with M/s GroFin (U) Limited. The phrase 'subject to' was interpreted to mean that the plaintiff's right to recover the outstanding amount was conditional upon the defendant's full repayment of the GroFin loan. The court held that the addendum had the effect of extending the time for payment under the original contract, and the plaintiff could not seek recovery until the GroFin debt was discharged.
