Ratio Decidendi

The court found that the letter dated 27th January 2016 was written 'without prejudice' and thus protected under the common law principle that such communications are inadmissible as evidence of termination unless both parties waive privilege or accept the proposals. The Plaintiff did not provide evidence of acceptance, and the parties continued their contractual relationship until September 2017. Therefore, the letter did not amount to a termination of the distributorship relationship. As a result, there was no unlawful termination, and the Plaintiff was not entitled to any remedies. The suit was dismissed with costs to the Defendant.
