The Defendant breached the contract by failing to deliver vacant possession of the suit land as expressly undertaken in the sale agreement. This failure was fundamental and negated the purpose of the contract, entitling the Plaintiffs to treat the contract as terminated under Section 35 of the Contracts Act, 2010. The Plaintiffs are entitled to a refund of the monies actually paid under the contract (Ushs.30,000,000), not the current market value, as the latter would constitute remote and indirect loss not contemplated by the parties.
