The Registrar found that the contested board and special resolutions removing the petitioner and others from the Board and disposing of company land were passed by the Board of Directors rather than by the members, contrary to the requirements of the Companies Act and the company's articles of association. The power to appoint or remove directors and to pass special resolutions lies with the members, not the Board. The resolutions were therefore null and void. The petitioner remains a member of the company, as there was no valid resolution removing her from membership, and her name remains on the register.
