The defendants failed to prove forgery or payment of the outstanding balance. The 2nd and 3rd defendants, having acted as disclosed agents, were not personally liable as there was no evidence of fraud or misuse of the corporate structure. The evidential burden to prove payment rested on the defendants, who failed to discharge it.
