The Plaintiff was not in breach of the sale agreement as the 1st Defendant accepted all payments, including those made after the agreed period, and varied the contract terms due to its own delay in completing the property. The 1st Defendant breached the agreement by failing to deliver the certificate of title and by using the property as collateral for a loan, contrary to an express term of the sale agreement. The 2nd and 3rd Defendants did not have a superior or bona fide interest in the property, and the caveat lodged was illegal. The Plaintiff is entitled to the certificate of title, removal of the caveat, special and general damages, interest, and costs.
