The respondent, having received the deposit as stakeholder under the Law Association of Zambia General Conditions of Sale, owed a fiduciary duty to the appellant to ensure the deposit was only paid to the genuine vendor. The respondent was negligent in failing to verify the vendor's identity and in releasing the deposit to a fraudster, and made misrepresentations that induced the appellant to pay. The appellant is entitled to recover the deposit as damages.
