A valid shareholders' resolution and Personal Liability Transfer Agreement, executed by the majority shareholders and with the effective participation and advice of the respondent's managing director, transferred the loan liability from the appellants to U-Fuel (Z) Limited. The foreclosure on the appellants' shares was therefore null and void, as the liability had shifted to the company and the respondent's refusal to accept payment from the company was contrary to the binding shareholders' decision.

Court Disposition

Appeal allowed; judgment of the High Court set aside.
