Procedural Posture

Mortgage Action / Commercial / Ruling on Application to Exclude Counterclaim (order 15 Rule 5(2) White Book)

  1. 1 Whether the First Respondent's counterclaim should be excluded from the mortgage action as a separate cause of action under Order 15 Rule 5(2) of the White Book
  2. 2 Whether the counterclaim arises from the same transaction as the mortgage action or from a distinct syndication agreement

Ratio Decidendi

The counterclaim arises from a separate syndication agreement evidenced by correspondence, not from the facility letters which form the basis of the mortgage action. The facility letters contain entire agreement clauses excluding prior agreements. Therefore, the counterclaim is a distinct cause of action and should not be pursued within the mortgage action. The court exercises its discretion to order the counterclaim to be tried separately.
