Procedural Posture

Civil Appeal / Judgment on Appeal

  1. 1 Whether Zinto Sakala was an agent of the appellant by ostensible authority
  2. 2 Whether the appellant is liable for the actions of Zinto Sakala
  3. 3 Whether the lower court erred in not finding Zinto Sakala liable as co-defendant

Ratio Decidendi

The appellant, by its conduct and representations through employees and its managing director, held out Zinto Sakala as its agent with ostensible authority. The respondents reasonably relied on this representation and supplied maize through him. The appellant is estopped from denying the agency relationship and is liable for the unpaid sums. The lower court's findings were supported by evidence and not perverse. The failure to apportion liability to Zinto Sakala does not absolve the appellant, as the principal is bound by the agent's actions within apparent authority.

Court Disposition

Appeal dismissed

Orders

  • Appellant to pay respondents the sum due for maize supplied with interest
  • Costs to the respondents to be taxed in default of agreement
