Ratio Decidendi

The Supreme Court found that contractual relationships existed between the plaintiffs and the 1st defendant for both works and fuel supply, supported by documentary evidence and admissions. The trial judge erred in dismissing the plaintiffs' claims and in finding office abuse or fraud without clear and distinct proof. Even if contracts were unenforceable, the plaintiffs were entitled to quantum meruit for work done and benefit received by the defendants. The trial court also erred by not addressing issues of illegality, estoppel, and limitation.
