Ratio Decidendi

The Registrar's refusal to effect changes to the companies register on the basis of ongoing police investigations was not a ground permitted under section 370(5) of the Companies Act. The Registrar is required to update the register upon proper notification of share transfer. The refusal was therefore unlawful and ultra vires the Act. The appeal was properly brought under section 379, and the Registrar is directed to update the register accordingly.
