The Plaintiffs failed to prove the existence of a binding shareholders' agreement due to lack of written form, but established on a balance of probabilities that they were wrongfully excluded from company affairs and denied statutory rights under the Companies Act. The Defendant failed to provide evidence supporting its affirmative defences. Plaintiffs are entitled to orders compelling the Defendant to convene a general meeting, present audited accounts and reports, and, if necessary, submit to a forensic audit. Claims for monthly allowances based on the alleged oral agreement were dismissed.
