The contract of indemnity between the appellant and respondent was discharged when the respondent relinquished its security interests in Zambian Airways' assets and the appellant registered its debenture over those assets. The indemnity was interim and ceased upon the handing over of the security documents, as stipulated in the agreement. The appellant, having accepted and registered the security, could not claim under the indemnity. The respondent was not required to secure the consent of other syndicate members for the discharge, and the appellant bore responsibility for perfecting its security interests thereafter.
