Procedural Posture

Civil / Judgment

  1. 1 Whether the Defendant owes the Plaintiff the sum of K458,300.00 as balance for the purchase of two buses
  2. 2 Whether the Defendant's counterclaim for breach of implied conditions and warranties under the Sale of Goods Act succeeds

Ratio Decidendi

The Defendant issued a cheque for K458,300.00 as the balance for the purchase of two buses, which was dishonoured for insufficient funds. The Plaintiff, as holder, was entitled to sue on the dishonoured cheque. The contract was not in the course of business for the Plaintiff, a private seller, so implied conditions of quality and fitness under the Sale of Goods Act did not apply. The Defendant accepted the buses, retained them for an extended period, and made partial payments, thus could not repudiate the contract or claim breach. The Defendant failed to prove its counterclaim. Judgment was entered for the Plaintiff for the sum claimed, with interest and costs.

Court Disposition

Judgment for the Plaintiff; Defendant's counterclaim dismissed.
