Ratio Decidendi

The email of 22nd September 2018 constituted a valid contract between the parties, but payment obligations were conditional upon the sale of the drilling rig. As the rig remained unsold and in the respondent's possession, the appellant was not liable to pay until the condition precedent was fulfilled. No partnership was proven, and the respondent was not holding the rig as a lien. The trial court erred in awarding damages and failing to pronounce on the counterclaim.
