Procedural Posture

Civil Appeal / Judgment on Appeal

  1. 1 Whether the lower court erred in ordering specific performance of the contract of sale.
  2. 2 Whether the respondents were justified in withholding the balance of the purchase price.
  3. 3 Whether there was a breach of contract by the respondents.

Ratio Decidendi

The contract of sale incorporated a road reserve on the southern side as evidenced by the attached sketch plan and pre-contract correspondence. The appellant's refusal to provide the road reserve constituted a fundamental breach, justifying the respondents' withholding of the balance of the purchase price and the Certificate of Title. Time was not of the essence in the contract, and the respondents' conduct did not amount to repudiation. The lower court was correct in ordering specific performance and dismissing the appellant's counterclaims.

Court Disposition

Appeal dismissed except on the finding regarding the date of contract execution; judgment of the lower court upheld to that extent.

Orders

  • Specific performance of the contract of sale ordered.
  • Respondents justified in withholding the balance of the purchase price and Certificate of Title.
