Procedural Posture

Civil Appeal / Judgment on Appeal From High Court Decision Dismissing Application to Set Aside Arbitral Award

  1. 1 Whether the composition of the arbitral tribunal was contrary to the parties' agreement and the articles of association
  2. 2 Whether the arbitrator exceeded the scope of the arbitral process by awarding more shares than claimed and relying on an audit report
  3. 3 Whether the parties were estopped from objecting to the composition of the tribunal after participating in the proceedings

Ratio Decidendi

The applicants, by actively participating in the arbitration and not raising timely objections to the composition of the tribunal or the scope of the issues, waived their right to object. The articles of association are not statutes and can be amended by consent. The arbitrator did not exceed his jurisdiction as the parties defined the issues for arbitration by their pleadings before the tribunal, and the audit report was admitted and tested by both parties. There was no basis to set aside the award under the Arbitration Act.
