Ratio Decidendi

Yangts failed to complete the works to standard and within time, and defects remain uncorrected, so retention and final claims are not due. The advance payment and performance guarantees were forgeries, not issued by Bank of China, and thus unenforceable. Society House is entitled to recover escalation in contract sum and amounts under the forged guarantees from Yangts, not Bank of China. Abbeycon's claims fail for lack of privity and contractual basis. Bank of China is not liable in negligence or under the guarantees. Claims for loss of business and against Bank of China are not proved or are statute barred.

Court Disposition

Plaintiffs' claims dismissed; Counterclaim by Society House partially succeeds.
