Ratio Decidendi

The agreement of sale between plaintiff and 1st defendant was lawfully terminated as notice of cancellation was effectively served in compliance with the Contractual Penalties Act and Interpretation Act. There was no legal impediment to the second sale to 2nd defendant, who paid the full purchase price. The property should be transferred to 2nd defendant. 1st defendant is not entitled to specific performance due to his breach. Claims for holding over damages and eviction are dismissed as unsustainable or moot.
