Ratio Decidendi

The respondents' agreement of sale was signed a day before the applicant's, and there are no special circumstances to displace the general rule that the first contract in time prevails. The applicant's later claims of an earlier oral agreement are unsupported and, by the parties' own conduct and the written contract's integration clause, only the written agreement is binding. Therefore, the respondents are entitled to transfer of the property.
