Ratio Decidendi

The court found the ZIFA Board meeting of 12 December 2002 was properly convened and the vote of no confidence was validly passed, subject to Council ratification. Chibizhe was not disqualified from Board membership under the ZIFA Constitution, and enforcement of the SRC Regulations is the Minister's responsibility. The audi alteram partem rule was not breached as Mugabe and Mutisi would have a hearing at the Council meeting. The court cannot interfere in ZIFA's internal affairs where internal remedies exist. The application was dismissed as an abuse of process, and costs were awarded against Mugabe and Mutisi personally.
