This part defines key cooperative terms and sets out how a cooperative is incorporated, named, governed, and required to keep and file records. This provision requires cooperatives to keep records, lets certain people inspect some records, sets rules for membership and withdrawals, and states duties and qualifications for directors. This part covers director disclosure, indemnity, unanimous agreements, and share/capital rules for cooperatives. This part lets a cooperative pay dividends and patronage returns, but limits dividends when the cooperative may not be able to pay its debts. It also sets rules for financial assistance, proxies, takeover bids, insider trading, and security certificates. A cooperative that issues securities must keep a securities register and meet related recordkeeping, location, transfer, and financial disclosure rules.
