System Fees Regulation

"annual information form" means an AIF as defined by National Instrument 51-102 Continuous Disclosure Obligations or an annual information form referred to in Part 9 of National Instrument 81-106 Investment Fund Continuous Disclosure . (« notice annuelle ») "principal regulator" means the principal regulator determined under section 5 of National Instrument 13-103 System for Electronic Data Analysis and Retrieval + (SEDAR+) . (« autorité principale ») "shelf prospectus" means a prospectus filed under National Instrument 44-102 Shelf Distributions . (« prospectus préalable ») "system fee" means a fee set out in Schedule A or B. (« droit relatif au système ») "WKSI base shelf prospectus" means a base shelf prospectus filed under Part 9B of National Instrument 44-102 Shelf Distributions . (« prospectus préalable de base pour les émetteurs établis bien connus ») 1(2) In this regulation, a term referred to in Column 1 of the following table has the same meaning as in the Instrument set out opposite in Column 2. M.R. 106/2025 Inconsistency with instruments 2 If there is any conflict or inconsistency between this regulation and National Instrument 13-103 System for Electronic Data Analysis and Retrieval + (SEDAR+) , this regulation prevails. SYSTEM FEES System fee for transmission 3(1) If a person or company described in Column A of the table in section 2 of Schedule A transmits a filing of a type specified opposite in Column B, the person or company must pay to the person or company's principal regulator the system fee specified in Column C for the filing for the reference period that corresponds to the filing's transmission date. 3(2) Subsection (1) does not apply unless the securities regulatory authority in the local jurisdiction is the person or company's principal regulator. M.R. 106/2025 Annual registrant system fee 4 On December 31 of each year, a sponsoring firm must, for each individual registrant of the sponsoring firm, pay the system fee specified in Column C of the table in Schedule B for the reference period that corresponds to that date to the securities regulatory authority if the securities regulatory authority in the local jurisdiction is the individual registrant's principal regulator on that date. M.R. 106/2025 PAYMENT OF FEES Means of payment 5 A person or company required to pay a system fee must pay the fee through SEDAR+. EXEMPTION Exemption 6 The commission may, by order and subject to any terms and conditions it imposes, exempt any person or company from the payment of any fee otherwise payable to the commission under this regulation. TRANSITIONAL PROVISIONS Transition 7(1) Despite section 5, a person or company required to pay a system fee referred to in Column C of Row 1 in the table in section 2 of Schedule A or in Column C of the table in Schedule B must pay the fee through NRD, as defined in National Instrument 31-102 National Registration Database , until National Instrument 13-103 System for Electronic Data Analysis and Retrieval + (SEDAR+) requires that the person or company transmit, through SEDAR+, a filing of a type described in Column B of Row 1 in the table in section 2 of Schedule A or in Column B of the table in Schedule B. 7(2) Despite section 3, a person or company is not required to pay a system fee referred to in Column C of Row 2 in the table in section 2 of Schedule A until National Instrument 13-103 System for Electronic Data Analysis and Retrieval + (SEDAR+) requires that the person or company transmit, through SEDAR+, a filing of a type described in Column B of Row 2 in the table in section 2 of Schedule A. REPEAL AND COMING INTO FORCE Repeal 8 The System Fees for SEDAR and NRD Regulation , Manitoba Regulation 158/2013, is repealed. Coming into force 9 This regulation comes into force on June 9, 2023.
